DGB Group N.V. (“DGB” of “de Groep”) (Euronext: DGB: NL000916951), een toonaangevende ontwikkelaar van natuurprojecten, bevestigt de succesvolle afronding van de jaarlijkse algemene aandeelhoudersvergadering (“AVA”) die op 17 juli 2025 om 14:00 uur CET werd gehouden.
De AVA, opgeroepen op 30 mei 2025, bood aandeelhouders de gelegenheid om over belangrijke agendapunten te stemmen. Aandeelhouders hebben de volgende besluiten met meerderheid van stemmen aangenomen:
- Goedkeuring van de notulen van de Buitengewone Algemene Vergadering van Aandeelhouders van 24 april 2025.
- Vaststelling van de gecontroleerde jaarrekening over het boekjaar 2024.
- Decharge van de leden van de Raad van Bestuur voor het in 2024 gevoerde beheer.
- Wijziging van de statuten.
- Het verlenen van de bevoegdheid aan de Raad van Bestuur voor de uitgifte van aandelen en de beperking of uitsluiting van voorkeursrechten.
DGB dankt zijn aandeelhouders voor hun blijvende vertrouwen en betrokkenheid. De succesvolle goedkeuring van deze besluiten versterkt het bestuurlijk kader van de Groep. Het biedt de noodzakelijke flexibiliteit om de langetermijnstrategie uit te voeren, gericht op het versnellen van herbebossing, herstel van biodiversiteit en duurzame ontwikkeling van gemeenschappen wereldwijd.
