Green Earth concludes 2026 EGM with approval on all resolutions

Green Earth Group N.V. ("Green Earth" or "the Group") (Euronext: EARTH, NL0009169515), a leading end-to-end developer of nature-based solutions, confirms the successful conclusion of its Extraordinary General Meeting (EGM) of shareholders, held on 15 October 2026 at 14:00 CET.

The EGM, which convened following the convocation notice on 31 August 2026, provided shareholders with the opportunity to formally embed nature and the environment within Green Earth's corporate governance framework, to further align employee interests with the long-term strategy of the Group, and equip the Board of Directors with the flexibility to support future growth and strategic ambitions.

Key agenda items and voting results

Shareholders represented at the meeting approved the following voting items on the agenda by resolution:

  • Adoption of the minutes of the Annual General Meeting of 23 June 2026
  • Proposed Amendment of the Articles of Association (parts 1, 2, and 3), designed to modernise Green Earth's corporate governance framework and support the company's continued growth
  • Adoption of the Green Earth Employee Share Ownership Plan 2026
  • Designation of the Board of Directors to issue ordinary shares and restrict or exclude pre-emption rights (up to 30% for general purposes; up to 100% for acquisitions and strategic transactions)

We are grateful to our shareholders for their continued trust and support at today's EGM. The approval of all resolutions underscores collective alignment with our long-term vision. Formally embedding nature and the environment within our Articles of Association reflects the very foundation of who we are as a business. We are well-positioned to accelerate our commercial momentum and deliver lasting value for our shareholders, our people, and the planet.

Selwyn Duijvestijn, Chief Executive Officer of Green Earth

The voting results per resolution are made available on the investor relations section of Green Earth's website.

Green Earth thanks its shareholders for their continued trust and engagement. Shareholder support for the resolutions reflects continued confidence in Green Earth's strategy, business model, and long-term ambition to become a leading force in the verified nature-restoration and carbon market.
